Conflicts of Interest exist, it’s a known fact.  The issue for your organization arrives when that interest is not disclosed and used for the benefit of your board member.  Therefore, organization’s must have their board members declare their conflicts on an annual basis.  Board members should list organizations and businesses with which they have an interest.  Should a vote arise that has the potential to benefit that entity they must disclose that fact and not influence the subsequent voting.
